1. Agreement to Terms

By accessing or using GroupGiving ("Service"), operated by Scaile Agency LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Geographic Restriction: This Service is intended solely for users located in the United States. By using the Service, you represent and warrant that you are located in the United States. If you are accessing the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

2. Description of Service

GroupGiving is a gift coordination platform that allows users to create groups, manage gift wishlists, and coordinate gift purchases privately. The Service is provided on a subscription basis at $5 per month per group.

3. User Accounts

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

• Subscriptions are billed monthly at $5 per group
• Payment is processed through Stripe
• Subscriptions automatically renew unless cancelled
• Refunds are provided at our discretion
• We reserve the right to modify pricing with 30 days notice

5. Cancellation

You may cancel your subscription at any time by contacting our support team. Upon cancellation, you will retain access to your groups until the end of your current billing period.

6. User Content

You retain ownership of any content you submit to the Service. By posting content, you grant us a license to use, store, and display that content as necessary to provide the Service. You are responsible for ensuring you have the right to share any content you post.

7. Prohibited Uses

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit harmful or malicious code
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to the Service
• Use the Service for any commercial purpose without permission

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Scaile Agency LLC and are protected by United States and international copyright, trademark, and other intellectual property laws.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

In no event shall GroupGiving be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

11. Indemnification

You agree to indemnify and hold harmless Scaile Agency LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
